16. Governing Law & Dispute Resolution (Florida)

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products or services provided by Form & Ledger shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court — except that either party may bring an individual claim in small claims court where it qualifies.

The arbitration shall take place in Palm Beach, Florida, in English, before a single arbitrator. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

Class Action Waiver: All claims must be brought in the parties’ individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

This arbitration clause does not prevent either party from seeking injunctive relief in court for infringement of intellectual property rights.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Form & Ledger and supersede all prior agreements.
